Acceptable Use Policy

Effective date: May 16, 2023

1. Application. This Policy applies to Your use of the Assets. By accessing or using the Assets, You agree to this Policy. In addition to other agreements between You and A-dec, these terms explain the policies that govern Your access to and use of the Assets. If You do not agree to or accept this Policy, then do not access or use the Assets.

2. Prohibited Conduct. You may access and use the Assets only for lawful purposes. You are responsible for any transmissions or communications You send, receive, post, access, or store via the Assets, including the content of any transmissions or communications. You are responsible for abuse of Your account by You or others. By using the Assets, You cannot, directly or indirectly, and cannot permit any Authorized Users or any other person to:

(a) use or access the Assets (i) from a jurisdiction where such use or access is not authorized, (ii) for any illegal purpose, or (iii) in violation of any local, state, national, or international law;

(b) conduct activities that may be harmful to others or that could damage the reputation of the A-dec Group;

(c) violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third party intellectual property right, or violating any third party privacy right;

(d) post, upload, or distribute marketing or advertising links or content, or any other content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate;

(e) use scrapers, robots, or other data gathering tools or mechanisms not provided by A-dec on or through the Assets;

(f) interfere with security-related features of the Assets, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering, decompiling, or otherwise attempting to discover the source code of any portion of the Assets, except to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction;

(g) interfere with the operation of the Assets or any user’s enjoyment of the Assets, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) making any unsolicited offer or advertisement to another user of the Assets; (iii) attempting to collect personal information, or other information about another user or third party without their consent; or (iv) interfering with or disrupting any network, equipment, or server connected to or used to provide the Assets, or violating any regulation, policy, or procedure of any such network, equipment, or server;

(h) perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation or accreditation, accessing any other account without permission, or falsifying Your account registration information;

(i) modify, translate, or create derivative works, adaptations or compilations of, or based on, the Assets or part thereof, or use, copy or reproduce the Assets or any part thereof other than as expressly permitted in this Policy;

(j) use the Assets during any activity that may distract You from safely performing such activity;

(k) use the Assets for timesharing or service bureau purposes or otherwise for the benefit of a third-party entity that is not affiliated with A-dec; or

(l) attempt to do any of the acts described in this Section 2 or assist or permit any person in engaging in any of the acts described in this Section 2.

3. Prohibited Electronic Communications and Activities. You cannot, directly or indirectly, and cannot permit any Authorized Users or any other person to:

(a) distribute, publish, or send through the Assets: (i) any spam, including any unsolicited advertisements, solicitations, commercial e-mail messages, informational announcements, or promotional messages of any kind; (ii) chain mail; (iii) numerous copies of the same or substantially similar messages; (iv) empty messages; (v) messages that contain no substantive content; (vi) very large messages or files that disrupt a server, account, newsgroup, or chat service; or (vii) any message that is categorized as "phishing;” or

(b) (i) participate in spidering, harvesting, or any other unauthorized collection of e-mail addresses, screen names, or other identifiers of others or participate in using software (including "spyware") designed to facilitate such activity; (ii) collect responses from unsolicited messages; or (iii) use any of Our mail servers or another site's mail server to relay mail without the express permission of the account holder or the site.

4. Investigation and Enforcement. We have the right, but are not obligated, to strictly enforce this Policy through self-help, active investigation, litigation, and prosecution. We reserve the right to act immediately and without notice to restrict, suspend, or terminate Your use of the Assets if We reasonably determine that Your conduct may: (a) expose the A-dec Group to sanctions, prosecution, civil action, or other liability; (b) cause harm to or interfere with the integrity or normal operations of the Assets; (c) interfere with another A-dec user's use of the Assets; (d) violate any applicable rule, law, or regulation; or (e) otherwise present an imminent risk of harm to the A-dec Group or its customers or users. A-dec has the right, but not the obligation, to monitor or restrict any uses of the Assets that A-dec reasonably believes in its sole discretion violate this Policy. INDIRECT OR ATTEMPTED BREACHES OF THIS POLICY AND ACTUAL OR ATTEMPTED BREACHES BY A THIRD PARTY VIA YOUR ACCOUNT OR ATTRIBUTED TO YOU MAY BE CONSIDERED A BREACH OF THIS POLICY BY YOU.

5. Miscellaneous. Any failure to insist upon or enforce performance of any provision in this Policy will not be construed as a waiver of any provision or right. Any waiver by Us of any provision of this Policy, including any breach or default of this Policy, must be in writing and signed by Us. Neither the course of conduct between the parties nor trade practice will act to modify any provision in this Policy. You may not assign or transfer this Policy or Your rights under this Policy, in whole or in part, by operation of law or otherwise, without Our prior written consent. We may assign this Policy at any time without notice or consent. If any provision of this Policy is held to be invalid or unenforceable, the unenforceable provision will be given effect to the greatest extent possible, and the remaining provisions will remain in full force and effect.

6. Modifications. We reserve the right, at Our discretion, to modify this Policy at any time. The updated Policy will be published on Our website. If a change to this Policy modifies Your rights and obligations, We may notify You of the modified Policy by email to the address You provided during any account registration. Modifications are effective upon publication. Disputes arising under this Policy will be resolved in accordance with the version of the Policy that was in effect at the time the dispute arose.

7. Definitions. Any capitalized terms used in this Policy have the same meaning in this Policy as in the Terms of Use or Terms of Service, as applicable, between You and A-dec, unless expressly defined below.

(a) “Assets” means the Service and the a-dec.com website.

(b) “Policy” means this Acceptable Use Policy.
